These Terms & Conditions explain how Misenplace works, what you can expect from us, and what we expect from you. They are written to be transparent and practical rather than overly legal. By accessing or using the Misenplace website or platform (the “Service”), you agree to these Terms.
If your business is on a paid plan, the Misenplace Customer Agreement (including its Service Levels and Data Processing schedules) also applies and takes precedence over these Terms where they differ. The Data Processing schedule applies to the business data of every platform account, whether or not you are on a paid plan.
Misenplace is operated by Mise En Place Online Ltd, a company registered in England and Wales (company number 11491528), with its registered office at SIU Offices, 4-6 Greatorex Street, London E1 5NF, United Kingdom.

Misenplace is a procurement intelligence platform for hospitality businesses. The Service processes purchasing and operational data provided by you or your team, or received through connected systems, including invoices, supplier catalogues and recipes.
Misenplace structures this information and provides reports, analytics, market insights and supporting features to help businesses understand and control their purchasing.
The Service is designed to support decision-making, not to replace accounting systems, professional advice or human judgment.
The Service is provided to business users only. By using the Service, you confirm that you are at least 18 years old and that you are authorised to act on behalf of the business you represent.
The Service is intended for food and beverage operators, their teams, and advisers or contractors working on their behalf. We may refuse or remove access from anyone else.
Misenplace is continuously developed and improved. We may introduce, update or change features and functionality over time, including in response to user feedback and changes in technology or our services.
Where a change materially affects how you use the Service, we will make reasonable efforts to let you know.
You are responsible for keeping your account information accurate, managing access for your users, and all activity carried out under your account. If you believe your account has been accessed without authorisation or there is a security issue, you must notify us as soon as reasonably possible.
You retain ownership of all data you upload to or connect with the Service (“Your Content”). You are responsible for ensuring that you have the right to upload and process this data, including under any agreements you have with your suppliers, and for its accuracy, completeness and legality.
Reports and insights produced by the Service depend heavily on the quality and structure of the data you provide and, where relevant, data received from third-party systems.
We process Your Content to operate, maintain, secure and improve the Service, to generate reports and insights for you, and to provide support. We do not sell your data, and we never share your identifiable data with other customers or third parties for their own purposes unless you ask us to or agree to it.
Market Pulse is part of the Service and is available to every account. It works on a contribution basis: the market view is built using data from multiple sources, including anonymised data aggregated across participating businesses. The level of Market Pulse access available to an account may depend on its contribution to the dataset.
By using the Service, you grant us the right to use Your Content in anonymised, aggregated form to build and publish market trends, comparisons and statistics. We only publish aggregated insights where there is sufficient data to prevent any individual business or supplier, or their purchasing, from being identified or singled out, and we never share operator-level purchasing or comparisons with suppliers.
If you would prefer that your data is not used to contribute to Market Pulse, contact support@misenplace.ai and we will exclude it from future contributions. Opting out may restrict access to Market Pulse or certain Market Pulse insights.
We may also use aggregated data that can no longer be linked to you or your business to improve the accuracy, matching and analytics that power the Service. If you upload a supplier catalogue, we may make its product information, never your prices, available to other users to improve product matching.

The Service may integrate with third-party tools, such as accounting, finance or EPOS platforms. These integrations rely on systems we do not control. Availability, accuracy, completeness and timing of integrated data depend on those third parties, and issues caused by third-party systems are outside our control. Your use of third-party tools remains subject to their own terms and policies.
You agree to use the Service only for legitimate business purposes. You must not:
If the Service is misused, we may restrict, suspend or terminate access.
The platform, our software, models, aggregated datasets, branding and everything else that makes up the Service belong to us or our licensors. Using the Service does not transfer any of that to you. If you send us feedback or suggestions, we may use them to improve the Service without owing you anything for them.
Misenplace is accessible without a paid plan. What is included, and the price of paid plans, is set out on our pricing page or agreed with you at sign-up. Paid plans are governed by the Customer Agreement.
Access without a paid plan may have usage limits, reduced features or time limits, which we will always state clearly. We will never move you to a paid plan or charge you without clear notice and your agreement.
We aim to keep the Service available, reliable and accurate, but we cannot guarantee uninterrupted access or that all data and outputs will be complete or error-free.
Market data, comparisons, trends and other insights are based on the data available to Misenplace at the time and may change as new information becomes available. They are provided to support your purchasing decisions and should be considered alongside your own knowledge and judgment.
Any specific service levels or availability commitments agreed with paid customers will be set out in the applicable Customer Agreement.
You may stop using the Service at any time. We may suspend or terminate access if these Terms are materially breached or if necessary to protect the security or integrity of the platform. If access ends, you may request an export of Your Content within 60 days, unless we are legally required to retain or delete it sooner.
Nothing in these Terms limits or excludes liability where the law does not allow us to do so, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
If you use the Service without a paid plan, our total liability to you arising from or in connection with the Service is limited to £100.
If you are on a paid plan, the liability provisions set out in your Customer Agreement apply instead.
We are not responsible for indirect or consequential losses, or for business decisions made solely in reliance on Service outputs. The Service is designed to support your decision-making and does not guarantee particular commercial or financial outcomes.
As Misenplace evolves, these Terms may change. If changes are significant, we will make reasonable efforts to inform you. Continued use of the Service after changes take effect means you accept the updated Terms.
These Terms are governed by the laws of England and Wales, and any disputes are subject to the exclusive jurisdiction of the courts of England and Wales. If any part of these Terms turns out to be unenforceable, the rest still applies.
